It's their experience rank. The little stars next to their portrait. So, if a 7-star guy sees a 5-star guy get appointed into an office, he gets cranky.
The problem is, often these high-experience/rank guys, especially if they're army generals and haven't fought for a while, don't have enough influence for an office. The solution would be to swap characters regularly back and forth between field command and governorships, so that they're continuously earning influence and always have enough for an office every 8 turns.
The good news is that the loyalty hit isn't that big, and can be countered politically by one of the wives.
Will higher rank men only take offense if they don't have an office themselves? Does it then matter if the higher ranked has a lower office?
Good question...I guess I haven't looked closely enough to answer definitively. I suspect that there's still a loyalty hit, but perhaps somewhat less than the full -4.
Validate your install? You probably have a corrupt file.

Typically, I do not see the "office given to a subordinate" hit if the higher ranked officer already has an office.
There is a catch though. Let's say your higher ranked officer has an office. You give an office to a lower ranked officer and the higher ranked officer's term expires as you hit "end turn" button (on the next turn). He will get the "office given to subordinate" hit as technically he won't have an office the moment the lower ranked officer accepts his post.
There is also a bug in play: You hand out several office appointments on your turn then save your game; when you re-start your campaign from that point (the save game), several of the office appointments tend to reset (disappear). So, you can get hit with several "office given to subordinate" maluses on the next turn as some of your appointees will get the office while other will have ignored your order.
Finally, unfortunately in Attila, there is a random loyalty malus attached to rotating characters. Basically, characters feel they're wronged somehow if they get rotated.
