It's quite a laborious process, it's basically just copying and pasting all the right icons and text from the roman folder to the egypt one and renaming them so they get referenced by the game. I don't think you'll be able to get rid of the culture penalty though, but you can code offsetting bonuses into the government building as Dol Guldur describes in his two tutes:

You´d have to replace all the building, units and tech-trees, so it looks like a fifth Roman culture, but the Senate would have no impact on it and you´d get a culture penalty when "real" Romans conquer it´s cities. Look around for tuts about adding/changing buildings and units, that´s what I would suggest. With Egypt and their one-nation culture, you can even give them Roman appearance for their family members, if you took a barbarian culture to convert it to Romans, you´d still have barbarian family and agent pictures, because, as far as I know, those are assigned per culture, not faction.

Im not trying to make a fifth roman faction. You see, this is for the mod Imperium Total War. Egypt is being converted so it is the lone Roman faction (the senate will not be included) and then the romans are going to become eastern factions most likely.
In that case it´s really "only" swapping models, graphics, etc, or so I´d think. Don´t get me wrong, I suppose it´s still a hell lot of work to do.
